Terms of Service

1. Agreement and eligibility

These Terms of Service ("Terms") form an agreement between you and Agera Solutions ("Agera Solutions," "we," "us," or "our") when you access or use SWOTLive. By creating an account, selecting a paid plan, or using the service, you agree to these Terms and our Privacy Policy.

You must be legally able to enter into this agreement. If you use SWOTLive for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. The SWOTLive service

SWOTLive provides tools for collecting structured SWOT inputs, evaluating relationships among those inputs, and presenting strategic intelligence indexes and reports. The service is a decision-support tool. Its outputs are based on information and ratings entered by users and are not a guarantee of business results or a substitute for professional legal, financial, medical, or other specialized advice.

3. Accounts and security

You are responsible for providing accurate account information, keeping your login credentials confidential, and all activity under your account. Notify us promptly if you believe your account has been accessed without authorization. You may not share account credentials in a way that bypasses the user limits or access controls of your plan.

4. Acceptable use

You may use SWOTLive only for lawful organizational and business purposes. You must not:

• use the service to violate any law, regulation, or third-party right;
• upload content that is unlawful, fraudulent, defamatory, infringing, or malicious;
• attempt to gain unauthorized access to the service, another account, or connected systems;
• probe, scan, reverse engineer, interfere with, or overload the service;
• introduce malware or use the service to distribute spam or harmful material;
• scrape, copy, resell, or build a competing service from the platform without permission; or
• use the service to make decisions about a person where prohibited by applicable law.

We may suspend or terminate access if we reasonably believe these Terms, applicable law, or the security of the service has been violated.

5. Your content

You retain ownership of the organizational information, analysis inputs, notes, and other content you submit ("Your Content"). You grant Agera Solutions the limited rights needed to host, process, display, back up, and otherwise provide the service to you and your authorized collaborators. You are responsible for having the rights and permissions needed to submit Your Content and for its accuracy.

Agera Solutions owns SWOTLive, its software, methodology, design, trademarks, and related technology. Except for the limited right to use the service during your subscription, no rights are transferred to you.

6. Subscriptions, trials, and payment

Some features require a paid subscription. Current plan names, prices, billing intervals, user limits, and included features are shown on the pricing page at the time you subscribe. All plans may include a 7-day free trial as stated on the pricing page. A payment method may be required to begin a trial.

Paid subscriptions renew automatically at the selected monthly or annual interval unless canceled before the next renewal date. Stripe processes payments and may apply its own terms. You authorize Agera Solutions and Stripe to charge the selected payment method for applicable fees, taxes, and renewals. If a payment fails, we may restrict paid features until the issue is resolved.

7. Cancellation and refunds

You may cancel a subscription through the available billing-management controls or by contacting us before the next renewal. Cancellation normally takes effect at the end of the current paid billing period, and you may continue using paid features until then. Canceling, trial expiration, or a payment issue does not automatically delete your account or analysis content; resolving billing can restore access to saved work.

Unless required by law or expressly stated otherwise at checkout, fees already paid are non-refundable. Trial access may end when you cancel or when the trial period expires. We may issue refunds or credits at our discretion where appropriate.

8. Availability and changes

We work to keep SWOTLive available and secure, but we do not promise that it will be uninterrupted, error-free, or available in every location. We may modify, improve, suspend, or discontinue features, with reasonable notice where practical. We may also update these Terms; continued use after an updated version is posted means you accept the revised Terms.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWOTLIVE IS PROVIDED "AS IS" AND "AS AVAILABLE." AGERA SOLUTIONS DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE OR ITS ANALYSIS WILL MEET YOUR REQUIREMENTS, PRODUCE A PARTICULAR OUTCOME, OR BE COMPLETELY ACCURATE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGERA SOLUTIONS AND ITS SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF SWOTLIVE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGERA SOLUTIONS' TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO SWOTLIVE WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID TO AGERA SOLUTIONS FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR 100 U.S. DOLLARS. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

11. Indemnification

To the extent permitted by law, you agree to defend and hold harmless Agera Solutions and its service providers from claims, losses, liabilities, and expenses arising from Your Content, your misuse of SWOTLive, or your violation of these Terms or another person's rights.

12. Termination

You may stop using SWOTLive at any time. We may suspend or terminate access for material breach, non-payment, legal requirements, or conduct that threatens the service or its users. Provisions that by their nature should survive termination, including ownership, disclaimers, liability limitations, and dispute-related terms, will continue to apply.
